Terms of Service

1. Acceptance of Terms
By accessing or using Eulogy Assist, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree, you may not use the service. These terms form the entire agreement between you and Eulogy Assist regarding your use of the platform.
2. Definitions
- Client — a funeral business that has accepted an invitation and holds an active subscription.
- District — a postcode district as defined by Royal Mail, used as the unit of geographic exclusivity.
- Exclusivity — the right of a client to be the sole Eulogy Assist subscriber operating within a given district.
- Shared Exclusivity — a state in which two or more clients operate within the same district as a result of circumstances outside Eulogy Assist's control.
- Base Price — the standard monthly subscription fee applicable to a client's district at the time of onboarding.
3. Service Description
Eulogy Assist provides a software platform to assist funeral business staff in generating tribute documents for the families in their care. The service is provided on a subscription basis with access limits defined by the client's chosen plan.
Clients purchase access up to a defined number of eulogies per month. Unused eulogies within a billing period do not carry forward. If a client requires eulogies beyond their monthly limit, additional capacity may be purchased or the subscription upgraded.

5. District Exclusivity
5.1 Grant of Exclusivity
Eulogy Assist grants each client exclusive access to the platform within their registered postcode district(s) at the time of onboarding. We will not invite or onboard any business that has a known presence in a district already held by an existing client.
5.2 Limits of Exclusivity
Exclusivity is granted in good faith based on the trading landscape at the time of signing. In rare circumstances, shared exclusivity may arise as a result of real-world commercial events outside our control, specifically:
- A client opens a new branch in a postcode district already held by another client; or
- A client acquires an existing funeral business that operates in a postcode district already held by another client.
In either case, Eulogy Assist will not have been the cause of the overlap. We are unable to prevent real-world business expansion or acquisition, and these terms acknowledge that such events may occasionally affect the exclusivity of existing clients.
5.3 Shared Exclusivity Arrangement
Where shared exclusivity arises, all businesses operating in the affected district will be moved to a shared exclusivity arrangement. Under this arrangement, the monthly district fee is divided equally across all businesses present in that district. Existing clients will receive a fee reduction funded by a surcharge applied to the new entrant, ensuring that no existing client bears a net financial cost from an event beyond their or our control.
For example, if three businesses come to operate in the same district, each pays one third of the standard district base price — the two new entrants as a surcharge on their subscription, and the original client as a reduction on theirs.
5.4 Acknowledgement
By accepting these terms, clients acknowledge that while Eulogy Assist will take all reasonable steps to protect the exclusivity of existing clients, the partial dilution of exclusivity caused by unforeseeable real-world events is an accepted condition of the service. In all such cases, the shared exclusivity arrangement described in clause 5.3 applies equally and transparently to all affected parties.
6. Data and Privacy
You are responsible for ensuring that family information entered into the platform has been collected with appropriate consent and does not violate any third-party rights. Eulogy Assist processes personal data in accordance with our Privacy Policy.

7. Intellectual Property
The generated tributes belong to you and the families you serve. The platform, including its AI logic, design, and underlying software, remains the property of Eulogy Assist. You may not reproduce, distribute, or create derivative works from the platform without prior written consent.
8. Acceptable Use

9. Service Availability
We strive to maintain a high level of service availability but cannot guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible. We are not liable for any loss arising from service interruptions outside our reasonable control.
10. Limitation of Liability

11. Termination

12. Changes to Terms
We may update these terms from time to time. Clients will be notified of material changes with reasonable notice before they take effect. Continued use of the service after changes take effect constitutes acceptance of the updated terms.
